These Terms explain what Walnut provides, what you keep control of, what paid plans include, how third-party services fit in, and where responsibility sits when you use a local-first AI knowledge workspace.

1. Agreement and operator

These Terms apply when you use the Walnut website, account portal, billing flows, download pages, desktop app online features, and any online service we operate for Walnut.

By using Walnut, you agree to these Terms and the Privacy Policy. If you do not agree, do not use Walnut's online services or paid features.

Walnut is provided by the Walnut operator responsible for website, account, billing, downloads, and online services. Checkout records, invoices or receipts, account notices, or support replies can show current contracting or payment-facing details.

2. What Walnut provides

Walnut helps you capture, index, connect, and review your own material. The desktop app is designed to work local-first. The website supports downloads, sign-in, billing, account management, and public product information.

Free and beta features are provided so users can try the product and so we can improve it. These features can change, pause, or end as the product evolves.

  • Local desktop features run on your device and depend on your own device, files, permissions, and backups.
  • Online features depend on account services, checkout, hosting, download mirrors, cloud storage, AI providers, and region availability.
  • A feature description, checkout page, or account page controls what a specific plan includes at the time you buy or use it.

3. Plans, AI compute, and BYOK

Software access and AI compute are separate. Current paid plans mainly unlock software access and cloud features. They do not include hosted AI compute unless a plan page or add-on clearly says that hosted AI is included.

When a plan says BYOK, you bring your own model provider key or account. You pay that provider directly and you are responsible for its terms, pricing, rate limits, data policy, and regional availability.

  • Hosted AI, if offered, can have separate quotas, safety controls, provider terms, and region-specific compliance checks.
  • Cloud storage or sync features can have storage limits, fair-use limits, and availability limits explained in the product or account page.
  • Region notices and availability rules are part of the service, not an error state.

4. Eligibility, account, and security

You must be at least 13 years old, at least 14 years old if you are in mainland China, or older if your local law requires a higher minimum age. If you are under the age of majority, you need permission from a parent or legal guardian.

Use accurate account information and protect your login credentials. You are responsible for activity under your account unless applicable law says otherwise.

  • Do not share credentials with unauthorized users.
  • Tell us promptly if you believe your account, device, model key, or cloud account is compromised.
  • We can ask for extra verification when needed to protect an account, payment, or device binding.

5. Your content and local-first boundaries

You keep ownership of the notes, files, uploads, prompts, and AI-generated outputs you create or process with Walnut, to the extent ownership exists under applicable law.

You give Walnut only the rights needed to operate the features you choose. For example, if you enable sync, upload a file, or send an AI request, you allow Walnut and the relevant provider to process the data needed for that feature.

Walnut does not claim ownership over your personal knowledge base. Walnut's software, source code, design, logos, documentation, service workflows, and underlying technology remain owned by the Walnut operator or its licensors.

  • You are responsible for having the right to import, process, upload, or share the material you use with Walnut.
  • You are responsible for local backups and for checking that sync or cloud destinations are configured correctly.
  • Suspending online services does not erase content already stored on your own device.

6. Billing, renewals, and refunds

Prices are shown in U.S. dollars unless the checkout page says otherwise. Taxes, payment provider fees, exchange-rate effects, or bank fees can apply depending on your location and payment method.

Checkout can be handled by a payment processor, merchant of record, reseller, or app marketplace. The checkout page shows the payment route that applies to your purchase.

If a plan renews automatically, cancel before the renewal date if you do not want the next charge. Refunds are handled under the billing policy in effect, the payment provider's rules, and mandatory local law.

  • Future purchases can have different plan names, feature boundaries, or prices.
  • Payment providers run their own risk checks, regional restrictions, sanctions screening, account review, and invoice or receipt handling.
  • If checkout or subscription management is unavailable, Walnut can show a clear error state and ask you to retry later instead of guessing the next action.

7. Third-party services

Walnut connects to third-party services for sign-in, payment, hosting, download distribution, cloud storage, and AI model access. These services are not Walnut.

Their uptime, pricing, data handling, rate limits, content rules, and regional policies are controlled by their own operators. Review their terms before connecting them to Walnut.

  • Google sign-in and Google One Tap are subject to Google's rules.
  • Creem or the checkout provider shown at checkout handles payment-related rules.
  • Model providers and cloud providers handle the prompts, files, sync data, or API calls you send to them.

8. Acceptable use

Use Walnut legally and safely. Do not use Walnut to harm others, violate rights, or attack the service.

  • Do not use Walnut for malware, phishing, spam, credential theft, or unauthorized access.
  • Do not bypass feature gates, region limits, rate limits, quotas, billing controls, or security controls.
  • Do not process, upload, host, or transmit content that is illegal where you or your users are located.
  • Do not reverse engineer, scrape, probe, or interfere with Walnut except where the law explicitly allows it.

9. Limits, suspension, and termination

We can limit, suspend, or terminate online features when needed to protect the service, enforce these Terms, comply with law, prevent fraud, address payment risk, or respond to a security incident.

You can stop using Walnut at any time. If you cancel a paid plan, access continues only for the period and features allowed by the plan terms.

  • We keep records needed for safety, billing, legal compliance, fraud prevention, or dispute handling after suspension or termination.
  • You can continue to export local data using standard formats supported by the app, unless a law or security incident blocks a specific export path.
  • Regional legal or operational conditions can delay, limit, or disable online features in some locations.

10. AI output and professional advice

AI features are assistance tools. AI summaries, suggestions, classifications, links, and answers can be incomplete, outdated, biased, misleading, or wrong.

Walnut does not provide legal, medical, financial, tax, or other professional advice. Review important output before relying on it, especially for decisions that affect money, health, legal rights, safety, or other people.

11. Warranty and liability limits

To the maximum extent permitted by law, Walnut is provided as is and as available. We do not guarantee uninterrupted service, error-free output, permanent availability of every feature, or fitness for every use case.

To the maximum extent permitted by law, Walnut and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption arising from your use of the service.

To the maximum extent permitted by law, our total liability for claims relating to the service is limited to the greater of the amount you paid Walnut for the service during the 12 months before the claim arose or USD 100 if no paid amount applies.

12. Governing law and disputes

These Terms are governed by the laws of the People's Republic of China, without applying conflict-of-law rules and without limiting mandatory consumer, data-protection, or privacy rights that apply where you live.

Contact us first so we can try to resolve a dispute informally. If that does not work, disputes are submitted to the competent court or dispute-resolution authority with jurisdiction under applicable law, unless a mandatory consumer rule gives you another venue or remedy.

13. Changes and contact

We update these Terms when Walnut's product, providers, pricing model, or legal obligations change. The updated page will show the new effective date or updated date.

If a change materially affects your rights or obligations, we will use a reasonable notice method, such as a website notice, account notice, product notice, or email where appropriate.
